Commercial Software License

This Commercial Software License ("License") governs the use of the web-based system ("Software") developed by Frizth Lyco Tatierra/TheDawnPH, TheDawnPH Development ("Licensor"). By using the Software, the licensee ("Client") agrees to comply with the terms and conditions outlined in this License.

1. License Grant

   Subject to the terms and conditions of this License and the payment of all applicable fees, Licensor grants Client a non-exclusive, non-transferable, limited license to use, modify, and distribute the Software for internal business purposes.

2. Payment Terms

   • Client agrees to pay Licensor a one-time fee or recurring fees as agreed upon in the separate contractual agreement.
   • Fees must be paid within the specified time frame outlined in the contract. Non-payment may result in termination of this License.

3. Usage Restrictions

   • The Software may only be used by the Client and its authorized employees or agents.
   • Redistribution of the Software, in source or binary form, is permitted only if expressly authorized in writing by Licensor.
   • The Client shall not sublicense, rent, lease, or lend the Software to any third party without prior written consent from the Licensor.
   • Any derivative works or modifications to the Software must clearly state that they are derived from the original Software developed by Licensor.

4. Intellectual Property Rights

   • The Software is and remains the intellectual property of Licensor.
   • This License does not transfer any ownership rights to the Client.
   • All copies of the Software made by the Client must contain the same proprietary notices as contained in the original Software.

5. Termination

   • This License is effective until terminated. Client may terminate this License at any time by ceasing all use of the Software and destroying all copies.
   • Licensor may terminate this License immediately if Client fails to comply with any terms of this License.
   • Upon termination, all rights granted to Client under this License will cease, and Client must promptly delete all copies of the Software.

6. Disclaimer of Warranties and Limitation of Liability

   • THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
   • IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

7. Governing Law

   This License shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of laws principles.

8. Entire Agreement

   This License constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
